This End-User License Agreement ("EULA") is a binding legal agreement between you, either an individual or an entity ("Licensee"), and UP, Inc. ("Licensor"), the author and distributor of the UpTracker Software ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.
1. License Grant
The Licensor hereby grants the Licensee a non-exclusive, non-transferable, limited license to use the Software solely for Licensee's internal business operations subject to the terms of this EULA.
2. Subscription and Fees
a. The Software is provided on a subscription basis with a monthly fee as indicated at the time of subscription or as subsequently updated. b. Licensee may terminate its subscription at any time, which will become effective at the end of the current billing cycle.
3. Use of the Software
Licensee agrees to use the Software in compliance with all applicable local, state, national, and international laws, rules, and regulations.
4. Limitation of Liability
The Licensor shall not be liable for any indirect, special, incidental or consequential damages, including but not limited to loss of profits, data, or business opportunity, arising out of or in connection with the use or inability to use the Software, even if advised of the possibility of such damages.
5. License Restrictions
Licensee may not: a. Permit other individuals or entities to use the Software except under the terms listed herein. b. Modify, translate, reverse engineer, decompile, disassemble (except to the extent applicable laws specifically prohibit such restriction), or create derivative works based on the Software. c. Copy the Software other than as specified in this EULA. d. Rent, lease, grant a security interest in, or otherwise transfer rights to the Software.
6. Multiple Locations
If Licensee wishes to use the Software at more than one business location or by more than one business entity, a separate subscription will be required for each additional location or entity.
7. Changes to the Software and Pricing
Licensor reserves the sole right, at its discretion, to update, modify, add or remove portions of the Software, the EULA, and the pricing for the Software, with or without notice to the Licensee.
8. Termination
This EULA is effective until terminated. The License and your right to use the Software will terminate automatically without notice from the Licensor if you fail to comply with any provision of this EULA.
9. Governing Law
This EULA shall be governed by the laws of the jurisdiction where the Licensor is located, without regard to its conflict of law provisions.

This Special Limited Time Offer (the "Offer") is provided by UP, Inc. ("UP"), in connection with its participation at the American Orthodontics Association trade show in May 2024 and is available exclusively for attendees of the show.
Offer Duration: The Offer commences on May 1, 2024, and ends on May 31, 2024 ("Offer Period").

The customer must be an attendee of the American Orthodontics Association trade show and must sign up for an annual term contract for UP's base inventory management software, UpTracker, within the Offer Period.
Offer Details:
The Offer includes an annual term contract for UP's base inventory management software, UpTracker, from May 2024 to May 2025.Customers will receive access to UpTracker's discounted premium Software as a Service (SAAS) at the price applicable to the standard software version.
The Offer is valid for the stated term and will renew automatically at the end of the term at UP's then-current standard pricing unless cancelled by the customer.
This Offer is applicable in conjunction with other offers or discounts that UP may provide.
Exclusions: This Offer does not apply to any products or services outside of the UpTracker base inventory management software.
How to Claim: To claim the Offer, eligible customers must:
Visit UP's website (up-tracker.com) and complete the registration process for UpTracker.
Enter the promotional code provided exclusively to trade show attendees during the registration process.
Miscellaneous:
UP reserves the right to modify, suspend, or terminate this Offer at any time without prior notice if it determines, in its sole discretion, that the Offer is subject to fraud or any other unanticipated factors or circumstances which may compromise the fairness or integrity of the Offer.
The Offer is subject to all applicable laws and regulations and is void where prohibited by law.
Any disputes relating to this Offer will be resolved at the sole discretion of UP and by accepting the Offer, the customers agree to be bound by these terms and conditions.
